Terms

Terms of service

The plain-English terms for working with The Loopov. Short, clear and fair to both sides.

Last updated: [DATE]. Words in highlighted brackets are still being finalized.

1.Who we are

The Loopov is a short-form video editing studio based in Ontario, Canada. It is an independent, owner-run business. In these terms, "we" and "us" means The Loopov, and "you" means the client who orders from us.

When you order, you accept these terms. Your order or plan (an email, invoice or order form from us) says what you are buying and the price.

2.What is included

We edit short-form videos from footage you film yourself. Every video includes:

Scripts and hooks, ad edits and other add-ons are included only if they are in your order or plan, at the price in your order or plan. We will always ask before doing anything outside your order.

Music licences can limit some uses, such as paid ads. Tell us if a video is for ads and we will choose music that fits. [CHECK]

3.What you send us

Turnaround starts once we have everything we need. If footage or feedback arrives late, delivery moves back by the same amount of time.

4.Revisions

Every video includes 2 revision rounds. One round is one list of notes sent together in one message. Notes sent in separate messages count as separate rounds.

A revision changes the video we made (trims, caption fixes, a music swap). A new idea or new footage is a new video. Extra rounds after the first 2 are [EXTRA REVISION PRICE] per video, and we confirm with you before starting one.

5.Turnaround

Turnaround is [TURNAROUND], counted from when we have all footage and notes for that video. This is our honest estimate, not a guarantee. If a video is going to be late, we tell you as soon as we know.

6.Prices and payment

7.Monthly plans

Your plan gives you a set number of videos each month. Unused videos do not roll over to the next month. The one exception: if a video is late because of us, it carries over at no extra cost.

8.Cancelling

[CANCELLATION POLICY]

To cancel, email hello@theloopov.com. We may end our agreement if a payment is not made or the terms are seriously broken, by telling you in writing.

9.Refunds

[REFUND POLICY]

10.Who owns the videos

You own your finished videos once they are paid for in full. You always keep ownership of your own footage, logos and brand assets, and you let us use them only to make your videos.

Licensed music, fonts and stock material stay owned by their creators. You can use them as part of your finished video, within the licence terms. Project files (the editing files) are included only if they are in your order. [CHECK]

Our portfolio: we only show your videos on our website or social media if you give us written permission by signing our portfolio release form. Saying no does not change your service.

11.Your content and permissions

By sending us material, you confirm that you own, or have permission to use:

You are responsible for what your videos say, including any claims about health, income or results. [CHECK]

12.Confidentiality and your files

We keep your footage, notes, scripts and business information private. We use them only to make your videos, and share them only with people who need them to do that work and who keep them confidential.

We keep your raw footage and project files for [FILE RETENTION DAYS] days after delivery, then delete them. Please keep your own copies.

How we handle personal information is explained in our Privacy notice.

13.No guaranteed results

We make every video with care, but we do not guarantee views, followers, engagement, leads or sales. Results depend on things outside our control, such as platform algorithms, your audience, your offer and how often you post.

14.Limits on liability

If we make a mistake, our first step is to fix the video. Our total liability for any claim is limited to the fees you paid for the affected order in the [3] months before the claim. We are not responsible for indirect losses, such as lost profits or lost opportunities, or for delays caused by events outside our reasonable control. Nothing here limits rights you have that the law does not allow to be limited. [CHECK WITH LAWYER]

15.Independent businesses

We are an independent business. Working together does not make us your employee, partner or agent. We decide how the work is done and we are responsible for what we deliver to you.

16.Changes to these terms

We may update these terms. If you are on a monthly plan, we will email you at least [NOTICE PERIOD] before a change applies to you, and you can cancel before it takes effect. The "Last updated" date at the top shows the current version.

17.Ontario law

These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Any dispute will be handled in the courts of Ontario. [CHECK WITH LAWYER]
